Estes Termos de Utilização (" Termos ") govern your access to and use of MultiLipi’s websites, products, and services (collectively, the "Serviços "). Ao criar uma conta, clicar em "Aceitar" ou usar os Serviços, você concorda com estes Termos e com os nossos Política de Privacidade e ainda Adenda de processamento de dados (where applicable). If you are entering into these Terms on behalf of a company or other entity, you represent that you have authority to bind that entity.

1) Definitions

"Conta" significa o seu registo e credenciais para aceder aos Serviços. "Conteúdo do cliente" means any content, data, media, text, metadata, glossary, translation memory (TM), and configurations you or your end users submit to or through the Services. "Encomenda" significa a compra online, seleção de subscrição ou qualquer formulário de encomenda mutuamente executado que faça referência a estes Termos. "Subscrição" means the plan and features you select, along with usage limits.

"Sensitive Data" means information that needs extra care or is subject to special rules (for example: special‑category data under GDPR Article 9; data about children under 16; government IDs; financial account or payment data; precise geolocation; credentials/passwords/API keys/secrets). The Services are not designed to process Sensitive Data, and you should not submit it.

2) Eligibility & Account Registration

  • You must be at least 18 years old and capable of forming a binding contract. If you register on behalf of an entity, you represent that you have authority to bind it.
  • When you create an Account, you must provide accurate, complete, and up‑to‑date information and keep it that way. You are responsible for safeguarding your credentials and for activities under your Account.
  • We may suspend or terminate access if we reasonably believe you have violated these Terms or applicable law, or to protect the security of the Services.

3) Acesso aos Serviços & Licença

Subject to these Terms and your timely payment of fees, MultiLipi grants you a limited, non‑exclusive, non‑transferable, non‑sublicensable right to access and use the Services during your Subscription term, solely for your internal business purposes and in accordance with your plan limits. No rights are granted except as expressly stated.

4) Descrição dos Serviços

The Services provide website localization and multilingual SEO features, including automatic translation, language routing/switching, glossary/TM management, manual edits/overrides, asset fetching at the edge, and related dashboards and APIs. Translations may be generated by machine translation providers. You remain responsible for reviewing translations for accuracy, legal compliance, and fitness for your use.

Fluxo de trabalho de tradução. In order to provide translation services, MultiLipi processes the textual content of our clients' webpages. When a page is translated, its text is sent to our servers and to our third‑party translation provider (e.g., Azure Translation Services, Google Translation Services). For performance optimization and caching, we may store the original text and its corresponding translation.

5) Plans, Trials, and Limits

  • Versões experimentais/Nível gratuito. We may offer trials or a free tier with limited features/usage. We can modify, suspend, or end such offers at any time.
  • Usage limits. Plans may include word, language, request, or project limits. If you exceed limits, we may prompt you to upgrade or (if you enable atualização automática ) atualize automaticamente seu plano após aviso, com efeito na próxima data de cobrança.
  • Mudanças de plano. You can upgrade/downgrade in your dashboard; charges or credits are prorated where applicable.

6) Taxas, Faturação e Impostos

  • Forma de pagamento. Você nos autoriza e nosso processador de pagamento (por exemplo, Stripe) a cobrar todas as taxas quando devidas. Não armazenamos números completos de cartões.
  • Impostos. As taxas não incluem impostos. Você é responsável pelo IVA/GST ou outros impostos aplicáveis, exceto aqueles baseados em nosso lucro líquido.
  • Atrasos de pagamento. Podemos suspender os Serviços por valores em atraso, cobrar taxas de atraso legais e recuperar custos de cobrança razoáveis.
  • Alterações de preços. Podemos alterar os preços de novos termos ou planos mediante aviso prévio; A alteração aplica-se na sua próxima renovação, a menos que cancele.

7) Refunds & Withdrawal

  • Reembolsos de primeira compra. Se não estiver satisfeito, pode solicitar um reembolso para o seu initial subscription purchase within 7 dias da data de compra por e-mail billing@multilipi.com. Os reembolsos não se aplicam a renovações, alterações de planos, complementos de uso ou excessos.
  • Digital content. To the extent permitted by law, once Services begin, statutory withdrawal rights for digital content may not apply.

8) Uso aceitável

  • Do not use the Services for unlawful, harmful, infringing, or fraudulent activity, or to violate the rights or safety of others.
  • Do not attempt to reverse engineer, decompile, or derive source code from any part of the Services or underlying software, except to the extent such restrictions are prohibited by law.
  • Do not circumvent usage limits or access controls; do not resell or provide the Services to third parties except as expressly permitted.
  • Do not submit content that is illegal, defamatory, obscene, or that infringes third‑party rights (including IP or privacy rights).
  • No Sensitive Data. You must not submit, expose, or cause the Services to process Sensitive Data (as defined in Section 1), including by configuring the Services to fetch such information from your site(s) or systems.
  • Controlos de exclusão. Você deve implementar e manter controles de exclusão eficazes (por exemplo, ignorar/excluir seletores, atributos "notranslate", cabeçalhos de robôs, paredes de login/autenticação) para impedir o processamento de conteúdo que não deve ser traduzido ou tratado de outra forma pelos Serviços.
  • Avisos e consentimentos. You are solely responsible for providing all required notices and obtaining any required consents from your end users, and for redacting/omitting user‑generated content, logs, or fields that may contain personal data not intended for translation.

9) Obrigações do Cliente

  • Ensure you have all necessary rights to Customer Content and that your use complies with law.
  • Configure recursos (por exemplo, domínios, idiomas, configurações de consentimento) e revise as traduções antes de publicar.
  • Manter seus sistemas, CMS e integrações; Não somos responsáveis por interrupções ou alterações de terceiros.

10) Conteúdo e Propriedade Intelectual

  • O seu Conteúdo. You own your Customer Content and (subject to applicable law) the rights in translations produced for your projects. You grant MultiLipi a worldwide, limited license to host, process, transmit, and display Customer Content as needed to provide the Services and to maintain security, support, and compliance. For clarity, any content retrieved from your own site(s) or systems at your request (including via edge fetching) is deemed Customer Content.
  • Responsibility. You are solely responsible for the accuracy, legality, and appropriateness of Customer Content, including any personal data it contains. MultiLipi does not monitor or moderate Customer Content and is not responsible for any inadvertent inclusion of personal or sensitive information that you submit or expose to the Services.
  • Utilização para melhorar os Serviços. We may use aggregated or anonymized information derived from the Services for analytics and to improve the Services. We will not use your identifiable Customer Content to train general AI models unless you have explicitly opted in.
  • O nosso IP. MultiLipi owns all right, title, and interest in and to the Services, software, documentation, logos, and brand features. No rights are granted by implication.
  • Comentários. If you provide feedback, you grant us a worldwide, perpetual, irrevocable, royalty‑free license to use it without restriction.

11) Serviços de terceiros & integrações

The Services may interoperate with or depend on third‑party products and services (e.g., CMSs, CDNs, machine translation providers, analytics, payment processors). Your use of third‑party services is subject to their terms. We are not responsible for third‑party services and do not control their availability or performance.

12) Security; Service Levels

Implementamos medidas técnicas e organizacionais razoáveis concebidas para proteger o Conteúdo do Cliente. Para planos empresariais, podemos concordar com metas específicas de suporte ou tempo de atividade em um formulário de pedido ou SLA. As atualizações de status podem ser publicadas em nossa página de status.

13) Privacidade e Proteção de Dados

O nosso Política de Privacidade explica como tratamos os dados pessoais enquanto responsável pelo tratamento. Quando processamos dados pessoais como um processador em seu nome (por exemplo, Conteúdo do Cliente para tradução/localização), o nosso Adenda de processamento de dados é aplicável, incluindo as disposições relativas aos subprocessadores enumerados em /legal/subprocessadores .

O seu papel como controlador. You are the controller of Customer Content and any end‑user personal data therein. You are responsible for determining the lawful basis, providing required notices, and honoring end‑user rights. MultiLipi acts solely on your documented instructions and has no obligation to monitor Customer Content for sensitive information.

14) Confidentiality

Each party may access the other party’s confidential information. The receiving party will protect such information using at least the same degree of care it uses to protect its own confidential information (but no less than reasonable care) and will use it only to perform under these Terms. Confidentiality obligations survive termination.

15) Recursos Beta/Preview

We may offer features identified as beta, preview, or evaluation. These may be provided "as is", for testing, with reduced or different support and availability, and may be changed or discontinued at any time.

16) Suspensão e Rescisão

  • Either party may terminate for material breach if not cured within 30 days of written notice. You may terminate at any time in your dashboard; termination is effective at the end of the current term unless otherwise stated.
  • We may suspend or limit the Services immediately for security reasons, suspected fraud, non‑payment, or violations of these Terms.

17) Data Export & Reversibility

During the Subscription term and for a reasonable period after termination, you can export translations and related assets by contacting support. We may retain limited backups as required by law or for legitimate business purposes, after which data is deleted or anonymized.

18) Garantias e Isenções de Responsabilidade

  • We warrant that we will provide the Services with reasonable skill and care. We do not warrant that the Services will be uninterrupted or error‑free.
  • EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT.

19) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY. EXCEPT FOR YOUR PAYMENT OBLIGATIONS AND INDEMNITY OBLIGATIONS, EACH PARTY’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED THE AMOUNTS PAID OR PAYABLE BY YOU TO MULTILIPI FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.

20) Indemnity

You will defend and indemnify MultiLipi against third‑party claims arising from (a) your Customer Content; (b) your use of the Services in violation of these Terms or law; (c) any infringement or misappropriation of rights by your content or custom integrations; (d) your submission, exposure, or processing of Sensitive Data or other sensitive information via the Services (including through client‑site asset fetching); and (e) your failure to obtain required notices or consents from end users.

21) Publicity

We may use your name and logo to identify you as a customer on our websites and marketing materials, consistent with reasonable trademark usage practices. You can opt out by emailing legal@multilipi.com.

22) Lei Aplicável e Litígios

Estes Termos são regidos pelas leis de Índia (Delhi) without regard to conflict‑of‑laws rules. The courts located in Índia (Delhi) will have exclusive jurisdiction, and the parties consent to personal jurisdiction and venue there. If required by consumer law, you may have additional rights or forums.

23) Alterações aos Termos

We may modify these Terms from time to time. We will post the updated Terms with an effective date. If you continue using the Services after changes take effect, you accept the updated Terms. If you do not agree, you must stop using the Services and, if applicable, cancel your Subscription.
